Small but scrappy. This description could be describing me or the small businesses and startups I represent. I’m a Denver based lawyer/mediator creating quality, accessible, and comprehensive legal solutions to help my clients reach their peak. I cut my teeth on employment law when I left law school. My career has grown in law firms and in-house. I’ve represented hundreds of small businesses, helped our clients raise millions in funds, and protected our clients’ brands. In my career, I have found I’m happiest when I’m helping startups and small businesses find solutions that are right for them. I’ve always been an entrepreneur at heart and after reading one too many books and listening to one too many podcasts I find myself in the same boat as my clients – building a business to take it to its full potential.

I’ve always dreamed big. That’s how I ended up at NYU with an undergraduate degree in Communications. During my time in New York, I interned for the first blind judge appointed to the federal bench. Before law school, I spent a year working for an entertainment law firm in Beverly Hills. Even when I was in law school,  I managed to find the time to intern with the TV litigation department at NBC Universal and complete a full time federal judicial externship in the United States District Court for the Central District of California. After graduating with honors from Southwestern Law School in Los Angeles, I spent the first few years gaining extensive experience litigating employment disputes ranging from wage and hour class actions to cases involving sexual harassment, disability, discrimination, and wrongful termination claims.  In addition, I worked on employment based immigration visas.

In 2012, I earned my mediation certificate and found joy helping clients settle cases outside the Courtroom. I love mediation because it is less expensive, more efficient, and often more effective than the court system. I hold an active bar license in Colorado and California.

I live in beautiful Denver, Colorado with my husband and our fun-loving dog. When I have the time, I enjoy hiking, skiing, and working on my book.

Having spent most of my career as an in-house general counsel and senior level business development executive, I formed Vonderheid & Associates, P.C. to provide outsource general counsel services to clients who need the expertise of an experienced business lawyer, but who do not need or want to engage a full-time attorney on staff.  My clients just want practical and sound legal advice at a reasonable price. I will be working as of-counsel to Basecamp Legal to provide on-going support for clients as needed.

I handle the full spectrum of a small and mid-sized company’s needs, including commercial and residential real estate transactions, mergers and acquisitions, equity and debt transactions, vendor and customer contracts, as well as human resources consulting.  My practice has included work with a large chain of wireless retail stores, a prominent master dealer for wireless products and services, distributors and manufacturers of consumer technology products, a nationwide security alarm company, a non-profit college, a number of telecommunications owners and operators, software companies, a nationwide staffing agency, a sports facility owner and operator, and a manufacturer whose products include aeronautical parts.

My most challenging work was as a non-Spanish speaking VP of Business Development for a start-up where I was tasked with acquiring telecommunications licenses and businesses in Latin America, after the business plan for telecom acquisitions in the U.S. fizzled.  In Latin America, I spent five years consolidating telecom licenses and operating businesses that were ultimately sold to Nextel International.  I grew to love and respect the people in Ecuador, Peru, Chile, Argentina, Columbia, Panama, Honduras and Bolivia, and that experience taught me how to listen and understand my clients who are from a variety of backgrounds and cultures.

My style is based in large part on the “grit” I gained from my upbringing in a small community within New York City and starting law school at night when my son was one year old.  I believe the practice of law is a calling and that to be of service to my clients and my community is an honor.

I work from offices in Denver and Breckenridge, Colorado.  In my spare time, I enjoy backcountry and downhill skiing, biking, hiking, yoga, travels to the ocean and a little bad golf with family and friends.

Eric comes to Basecamp Legal after a successful 10-year career representing individuals and companies in a variety of civil legal matters.  A proven litigator, Eric takes a creative approach to each case to ensure the best results for his clients.  Eric began his legal career working for a Baltimore-based boutique law firm representing major automobile manufacturers in Maryland, Virginia, and Washington, D.C., in both state and federal courts.  Over the years, Eric expanded his practice to include representing individuals, companies, and government agencies in several areas of law, including employment, real estate, land use, insurance, toxic tort, environmental, and appellate matters.  Eric is a graduate of the University of Baltimore School of Law, where he served as a production editor for the Law Review and graduated cum laude.  Outside the office, Eric is and avid skier, and spends his weekends working as a volunteer ski patroller at Loveland Ski Area or chasing powder in the backcountry. Eric spends his summers exploring Colorado through rock climbing, mountain biking, and fly-fishing.

In May, 2019 at the end of her second year in law school, Julie joined Basecamp Legal as a summer law clerk and subsequently stayed on in that position. As Basecamp’s law clerk, Julie conducted research in support of litigation and drafted a variety of business documents including formation instruments, leases, releases and waivers, trademark office action responses, and website policies.

Julie graduated from the University of Denver’s Sturm College of Law in May, 2020, earning a certificate in Corporate and Commercial Law and focused her studies on the needs of young companies including: trademark, data privacy and protection, and early stage/SEC-exempt fundraising. As a volunteer with the Co.Starters’ business accelerator Program, she answered entrepreneurs’ questions and drafted business documents. During her second year in law school, Julie accepted an externship opportunity for Cognizant Technology Solutions’ in-house legal department, at their Englewood location. At Cognizant, Julie wrangled complex master agreements and helped to create efficiencies between the organization’s business and legal departments. While at DU, Julie also participated in the Wills Lab program, writing a custom will and other instruments for one of the Lab’s income-qualifying clients, under supervision. Julie anticipates expanding her own practice area specialties to include wills and trusts.

Julie lives in Nederland, CO and when she has time left over, she enjoys trail running, mountain biking, and sailing, when it’s warm, and backcountry skiing, when it’s cold.

Karen partners with business owners and in-house legal teams to provide high-performing corporate contracts and outsourced legal services that reduce risk and improve business operations with services tailored for each individual business. She strives to understand and support her client’s business goals and objectives, is able to quickly identify the risks and benefits of available options, and develops and implement innovative and practical solutions. and providing strategic advice for day to day operations and project development.

After receiving her geology degree at Penn State, Karen and her German Shepherd Dog moved to Colorado where she received her law degree from the University of Denver College of Law. Starting her career as a Colorado Assistant Attorney General, she negotiated innovative consent decrees to clean up large mines under CERCLA and the Clean Water Act, and to address pollution from oil refining. She led large stakeholder groups that included representatives from industry, government and environmental groups, to develop complex regulations. During that time, she served as an Adjunct Professor at the Colorado School of Mines, where she designed the curriculum to teach Regulatory Analysis and Environmental Permitting.

As part of a team of in-house counsel, as general counsel, and as private counsel supplementing in-house counsel, Karen has experience in many industries — oil and gas midstream, oil and gas distribution, electric utility, water and wastewater, engineering, environmental regulation and permitting, government, franchising, hospitality, restaurants, healthcare, and others. Teams that she has been a part of include DCP Midstream, Caliber Midstream, Operations Management International / CH2MHill, TAB International, Vail Corporation, and Suncor. She enjoys working as with businesses of all sizes and in various stages of development.

Her depth of experience drafting, reviewing and negotiating a wide range of complex commercial contracts, strategizing with business teams, and analyzing risks and solutions, enables her to quickly become an effective part of an organization. These contracts include procurement agreements, services agreements, vendor agreements, operation and maintenance agreements, construction agreements, equipment lease agreements, engineering agreements, statements of work and work orders, connection agreements, commercial leases, technology agreements, asset purchase agreements, buy-sell agreements, and franchise documents.

Karen is an active member of the Colorado Bar Association (“CBA”) where she currently serves on the Executive Council of its Business Law Section, CBA Solo and Small Firm Section (Past Chair of the Executive Council), Denver Bar Association, Colorado Women’s Bar Association, Senior Women’s Corporate Counsel, WOLF (Women Owned Law Firms), Women’s Energy Network, Rocky Mountain Mineral Law Foundation, and Women of Renewable Industries and Sustainable Energy.   She has authored several articles regarding the practice of law for The Docket, a publication of the Denver Bar Association.

She still loves living in Denver, where she spends much of her spare time hiking with her husband and dog, snowshoeing, gardening, and enjoying the art museums, galleries and music and theater venues.
